These Author Center Terms of Use (“Terms”) are a legally binding agreement between you (“Author,” “you,” or “your”) and HowToEGuides.com (“HowToEGuides,” “we,” “us,” or “our”) governing your access to and use of the HowToEGuides.com Author Center, websites, applications, publishing services, tools, software, and related services (collectively, the “Author Center”).
By creating an Author Center account, accessing or using the Author Center, uploading or submitting content, clicking “I Agree,” checking an acceptance box, or otherwise affirmatively accepting these Terms, you acknowledge that you have read, understood, and agree to be legally bound by these Terms.

1. DEFINITIONS
For purposes of these Terms:
“Author Content” means any manuscript, book, article, guide, instructional material, text, photograph, illustration, image, artwork, cover, video, audio, recording, title, subtitle, description, author biography, metadata, promotional material, or other material submitted, uploaded, transmitted, stored, published, or otherwise provided by an Author.
“Author Account” means the account established by an Author for access to the Author Center.
“Services” means the publishing, distribution, formatting, hosting, payment, promotional, technological, editorial, artificial-intelligence, or other services made available through the Author Center.
“User” means any person accessing or using the Author Center.

2. ELIGIBILITY
You must have the legal capacity to enter into a binding agreement to use the Author Center.
By using the Author Center, you represent and warrant that:
1. You are at least eighteen (18) years old, or have otherwise reached the age at which you may legally enter into this agreement in your jurisdiction;
2. You have the legal capacity and authority to enter into these Terms;
3. All information you provide to HowToEGuides is accurate, complete, and current;
4. You will maintain accurate account, payment, tax, and contact information;
5. You are not legally prohibited from using the Services;
6. If you are acting on behalf of a company, organization, publisher, or other legal entity, you have authority to bind that entity; and
7. You will comply with all applicable laws and regulations.
We may require identity, age, tax, ownership, payment, or other verification before permitting you to use particular features.

3. AUTHOR ACCOUNTS
Certain features require an Author Account.
You are responsible for:
* maintaining the confidentiality of your username and password;
* maintaining the security of your authentication credentials;
* all activity occurring through your Author Account;
* providing accurate and current information;
* immediately notifying us of suspected unauthorized access;
* maintaining the security of devices used to access your account; and
* ensuring that your account is not used in violation of these Terms.
You may not sell, rent, sublicense, transfer, share, or otherwise provide your Author Account to another person without our prior written authorization.
We reserve the right to refuse registration, require additional verification, restrict access, suspend an account, or terminate an account when reasonably necessary to protect HowToEGuides, the Author Center, its users, or third parties.

4. YOUR OWNERSHIP OF AUTHOR CONTENT
Except for the rights expressly granted under these Terms or another written agreement between you and HowToEGuides, you retain ownership of your Author Content.
Nothing in these Terms transfers ownership of your copyright to HowToEGuides merely because you upload, submit, publish, store, or distribute your work through the Author Center.
You remain solely responsible for determining whether your content is suitable for publication and whether you possess all rights necessary for its use.

5. YOUR RESPONSIBILITY FOR AUTHOR CONTENT
You are solely responsible for your Author Content.
By submitting Author Content, you represent and warrant that:
1. You own the content or have obtained all necessary rights, licenses, permissions, releases, and consents;
2. Your content does not infringe or misappropriate any copyright, trademark, patent, trade secret, publicity, privacy, moral, contractual, or other right;
3. Your content does not contain unlawful or materially deceptive representations;
4. You have obtained necessary permissions for third-party photographs, quotations, artwork, trademarks, names, likenesses, and other protected material;
5. Your content does not contain malicious software, viruses, malware, or harmful code;
6. Your content complies with applicable law;
7. Your content complies with applicable advertising, endorsement, disclosure, and consumer-protection requirements;
8. Your content is not knowingly fraudulent or plagiarized; and
9. All information and metadata you provide concerning the work is accurate to the best of your knowledge.
You are responsible for obtaining permissions from third parties.

6. LICENSE GRANTED TO HOWTOEGUIDES
You grant HowToEGuides a non-exclusive, worldwide, royalty-free license to use your Author Content as reasonably necessary to provide, operate, administer, maintain, improve, promote, and secure the Author Center and any Services you select.
This license includes the right to:
* host and store your Author Content;
* reproduce your Author Content;
* technically process and transmit your Author Content;
* format, convert, resize, compress, or otherwise technically modify your Author Content;
* display your Author Content;
* distribute your Author Content through authorized distribution channels;
* create excerpts, previews, thumbnails, and samples;
* display titles, descriptions, metadata, and author information;
* create technical or accessibility versions of your content;
* back up your Author Content;
* use your Author Content for fraud, security, quality-control, and technical processes;
* promote your published works and the Author Center;
* display your author name, biography, book title, cover, and other publication information; and
* perform other actions reasonably necessary to provide the Services.
This license does not transfer ownership of your copyright.
Except where necessary to operate or improve the Services, HowToEGuides will not acquire ownership of your underlying intellectual property solely through your use of the Author Center.

7. PROMOTIONAL RIGHTS
You authorize HowToEGuides to identify you as an Author and to use your:
* author name;
* professional biography;
* book title;
* book cover;
* excerpts;
* descriptions;
* publication information;
* reviews or ratings associated with your work; and
* other publicly available publication information
for purposes of operating, advertising, marketing, promoting, and publicizing the Author Center and your published works.
You may request that future promotional use of certain materials be discontinued, subject to reasonable technical limitations and materials already distributed, published, archived, or incorporated into third-party materials.

8. FORMATTING, EDITORIAL, AND AUTOMATED SERVICES
Depending on the Services available, HowToEGuides may use human or automated systems to assist with:
* formatting;
* proofreading;
* editing;
* categorization;
* metadata;
* search optimization;
* content organization;
* accessibility;
* previews;
* thumbnails;
* quality control;
* fraud detection;
* security;
* translation or localization; and
* other publishing functions.
Technical or editorial processing does not transfer ownership of your Author Content.
You remain responsible for reviewing your work before publication.

9. ARTIFICIAL INTELLIGENCE
If the Author Center provides artificial-intelligence (“AI”) or automated content tools, those tools may produce inaccurate, incomplete, inappropriate, repetitive, or unintended results.
You are responsible for reviewing all AI-assisted or automatically generated material before publication.
You may not use AI tools provided through the Author Center to:
* generate unlawful content;
* infringe another person’s rights;
* impersonate another person;
* produce malicious software;
* facilitate fraud;
* circumvent platform safeguards; or
* otherwise violate these Terms.
Where applicable law or platform requirements require disclosure of AI-generated or AI-assisted material, you are responsible for making the required disclosure.

10. CONTENT REVIEW AND MODERATION
We may, but are not obligated to, review Author Content for compliance with:
* these Terms;
* applicable law;
* technical requirements;
* intellectual-property requirements;
* payment requirements;
* publishing standards; and
* security or fraud-prevention requirements.
We may reject, delay, restrict, modify, remove, or discontinue distribution of content.
We may also suspend or terminate an account when reasonably necessary.
Where appropriate and legally permissible, we may provide notice and an opportunity to correct an issue.

11. PROHIBITED CONTENT AND CONDUCT
You may not use the Author Center to upload, publish, distribute, promote, or facilitate:
1. unlawful content or activity;
2. copyright infringement or plagiarism;
3. trademark or other intellectual-property infringement;
4. fraud or deceptive schemes;
5. impersonation;
6. unlawful disclosure of private information;
7. malware or malicious code;
8. content involving the sexual exploitation or abuse of minors;
9. unlawful threats or harassment;
10. trafficking or exploitation;
11. stolen works;
12. content intended to manipulate sales, rankings, reviews, downloads, or other platform metrics;
13. unauthorized automated access;
14. attempts to circumvent security measures;
15. content that violates applicable advertising or consumer-protection laws;
16. content that violates another applicable written agreement; or
17. any other material or activity that violates applicable law or these Terms.
We may establish additional content standards for specific publishing categories.

12. INTELLECTUAL PROPERTY OF HOWTOEGUIDES
The Author Center and its underlying technology, software, design, interfaces, databases, graphics, logos, trademarks, service marks, and other materials are owned by or licensed to HowToEGuides.
Except as expressly authorized, you may not:
* reproduce the Author Center;
* copy proprietary software;
* reverse engineer the Services;
* attempt to derive source code;
* scrape or systematically collect platform information;
* interfere with security mechanisms;
* remove proprietary notices;
* sell or sublicense access; or
* use HowToEGuides trademarks without authorization.
Your use of the Author Center does not grant you ownership of HowToEGuides intellectual property.

13. ROYALTIES, REVENUE, AND PAYMENTS
If the Author Center provides royalties, revenue sharing, commissions, advances, or other compensation, the applicable author agreement, publishing agreement, payment schedule, or other written compensation terms will govern.
Unless otherwise provided in writing:
* payments may be subject to refunds and chargebacks;
* payments may be subject to applicable taxes and withholding;
* payments may be delayed while fraud or payment irregularities are investigated;
* you must maintain accurate payment information;
* we may require tax documentation before payment; and
* you are responsible for applicable taxes.
If these Terms conflict with a separately signed author or publishing agreement concerning compensation, the specific written agreement will control.

14. TAXES
You are solely responsible for determining and satisfying your federal, state, local, and foreign tax obligations arising from your use of the Author Center or compensation received through it.
HowToEGuides may collect tax information and issue tax forms when required by law.

15. REFUNDS, CHARGEBACKS, AND PAYMENT REVERSALS
Where applicable, refunds, chargebacks, fraudulent transactions, cancellations, payment reversals, and similar adjustments may affect amounts otherwise payable to you.
To the extent permitted by law and applicable agreements, HowToEGuides may offset amounts owed to HowToEGuides against amounts otherwise payable to you.

16. THIRD-PARTY SERVICES
The Author Center may interact with third-party services, including:
* payment processors;
* distributors;
* retailers;
* hosting providers;
* analytics providers;
* advertising platforms;
* cloud-service providers;
* identity-verification services; and
* other service providers.
Third-party services may have separate terms and privacy policies.
HowToEGuides is not responsible for the independent acts, omissions, policies, availability, or performance of third-party services.

17. PRIVACY
Your use of the Author Center may involve the collection and processing of personal information.
HowToEGuides’ collection and use of personal information will be governed by its applicable Privacy Policy.
The Privacy Policy is incorporated into these Terms by reference.

18. SECURITY
You may not attempt to compromise the security, integrity, availability, or functionality of the Author Center.
Prohibited conduct includes:
* unauthorized access;
* credential attacks;
* malicious code;
* denial-of-service attacks;
* vulnerability exploitation;
* unauthorized scraping;
* circumventing authentication;
* bypassing access controls; and
* interfering with platform security.
We may immediately suspend access when reasonably necessary to protect the Author Center, its users, or third parties.

19. SERVICE AVAILABILITY
We may modify, suspend, discontinue, replace, or restrict any portion of the Author Center at any time.
We do not guarantee that the Author Center will:
* always be available;
* operate without interruption;
* be error-free;
* remain compatible with every device;
* remain unchanged; or
* retain every feature indefinitely.
Maintenance, upgrades, security updates, outages, and circumstances outside our reasonable control may affect availability.

20. DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AUTHOR CENTER AND ALL SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOWTOEGUIDES DISCLAIMS ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND SECURITY.
HowToEGuides does not guarantee that:
* your work will be accepted;
* your work will be published;
* your work will be distributed;
* your work will be promoted;
* your work will generate sales;
* your work will generate revenue;
* your work will receive particular rankings or visibility; or
* the Author Center will produce any particular commercial result.

21. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOWTOEGUIDES AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, SERVICE PROVIDERS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.
This includes, without limitation:
* lost profits;
* lost revenue;
* lost sales;
* lost data;
* lost opportunities;
* loss of goodwill; or
* business interruption.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOWTOEGUIDES’ TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE AUTHOR CENTER OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
1. the amount you paid to HowToEGuides for the applicable Services during the twelve (12) months preceding the event giving rise to the claim; or
2. one hundred U.S. dollars (US $100).
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

22. INDEMNIFICATION
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless HowToEGuides and its owners, officers, directors, employees, contractors, affiliates, licensors, service providers, and agents from claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising from or relating to:
* your Author Content;
* your breach of these Terms;
* your violation of applicable law;
* your violation of another person’s rights;
* your misuse of the Author Center;
* your fraud;
* your negligence; or
* your intentional misconduct.

23. TERMINATION BY THE AUTHOR
You may stop using the Author Center at any time.
Where an account-closure procedure is available, you may request closure through the applicable account settings or designated support channel.
Termination does not eliminate obligations that by their nature should survive termination.

24. SUSPENSION OR TERMINATION BY HOWTOEGUIDES
HowToEGuides may suspend or terminate your account or access to the Author Center if:
* you violate these Terms;
* you violate another applicable agreement;
* we reasonably suspect fraud;
* your activity creates legal or security risks;
* you provide materially false information;
* your account is used for prohibited activity;
* required by law or governmental authority; or
* we discontinue the applicable Service.
Where appropriate and legally permissible, we may provide notice before termination.

25. EFFECT OF TERMINATION
Upon termination, your right to access the Author Center may immediately cease.
Unless otherwise required by law or another applicable agreement, HowToEGuides may retain copies of information or content as reasonably necessary for:
* legal compliance;
* accounting;
* tax purposes;
* security;
* fraud prevention;
* backups;
* dispute resolution; or
* other legitimate business purposes.
Provisions concerning intellectual property, payments, disclaimers, limitations of liability, indemnification, dispute resolution, governing law, and other provisions intended by their nature to survive termination will survive.

26. GOVERNING LAW
THESE TERMS AND ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS OR THE AUTHOR CENTER SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF FLORIDA, WITHOUT REGARD TO CONFLICT-OF-LAW PRINCIPLES THAT WOULD REQUIRE APPLICATION OF THE LAW OF ANOTHER JURISDICTION.

27. EXCLUSIVE FLORIDA VENUE AND JURISDICTION
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS WHERE A LEGAL ACTION MAY BE BROUGHT.
To the maximum extent permitted by applicable law, any lawsuit, action, proceeding, or judicial dispute arising out of or relating to these Terms, the Author Center, your Author Account, your Author Content, the Services, or your relationship with HowToEGuides shall be brought exclusively in a state court located within the State of Florida or, where federal subject-matter jurisdiction exists, in an appropriate federal court located within the State of Florida.
You expressly consent to the jurisdiction of the applicable Florida courts and agree that Florida shall be the exclusive judicial forum for disputes covered by this Section, to the maximum extent permitted by applicable law.
You waive, to the maximum extent permitted by law, any objection based on:
* improper venue;
* inconvenient forum;
* lack of personal jurisdiction; or
* similar grounds,
to the extent such waiver is legally enforceable.
You agree not to commence or maintain a covered action in a court located outside the State of Florida, except where applicable law expressly prohibits enforcement of this provision or requires otherwise.
Nothing in this Section prevents either party from seeking temporary, preliminary, emergency, or injunctive relief where reasonably necessary to protect intellectual property, confidential information, security, or other legally protectable rights.

28. CLASS ACTION WAIVER
To the maximum extent permitted by applicable law, each party agrees that any dispute shall be brought solely in that party’s individual capacity and not as a plaintiff or class member in any purported:
* class action;
* collective action;
* representative action;
* consolidated action; or
* private-attorney-general action.
Nothing in this provision waives a right that cannot legally be waived.

29. JURY TRIAL
Unless otherwise provided by a separate written agreement, these Terms do not require either party to waive any right to a jury trial that cannot otherwise be waived under applicable law.

30. COPYRIGHT COMPLAINTS
If you believe that material available through the Author Center infringes your copyright, you may submit a copyright-infringement notice through the copyright procedure designated by HowToEGuides.
HowToEGuides may remove or restrict allegedly infringing material and may take appropriate action against repeat infringers.

31. CONFIDENTIAL INFORMATION
If you receive confidential information belonging to HowToEGuides or another party through the Author Center, you agree not to use or disclose that information except as authorized.
This obligation does not apply to information that:
* becomes publicly available without your breach;
* was lawfully known to you before disclosure;
* is independently developed without use of confidential information; or
* must be disclosed by law, provided legally permitted notice is given.

32. FEEDBACK
If you provide suggestions, recommendations, ideas, bug reports, or other feedback regarding the Author Center, you grant HowToEGuides the right to use that feedback without compensation or attribution.
This provision does not transfer ownership of your Author Content.

33. NO EMPLOYMENT OR AGENCY RELATIONSHIP
Nothing in these Terms creates:
* an employment relationship;
* partnership;
* joint venture;
* franchise;
* fiduciary relationship; or
* agency relationship
between you and HowToEGuides.
Unless expressly provided by a separate written agreement, you are responsible for your own business activities, expenses, taxes, and legal obligations.

34. NO GUARANTEE OF SALES OR SUCCESS
You acknowledge that use of the Author Center does not guarantee:
* publication;
* acceptance;
* distribution;
* sales;
* downloads;
* readership;
* reviews;
* rankings;
* search visibility;
* advertising performance; or
* income.
Publishing and commercial performance depend on numerous factors outside HowToEGuides’ control.

35. CHANGES TO THESE TERMS
We may modify these Terms from time to time.
For material changes, we may provide notice through the Author Center, email, or another reasonable method.
The revised Terms will become effective on the date stated in the revised Terms.
Where permitted by law, your continued use of the Author Center after the effective date constitutes acceptance of the revised Terms.

36. ELECTRONIC COMMUNICATIONS AND SIGNATURES
You consent to receiving agreements, notices, disclosures, statements, and other communications electronically.
Electronic records, electronic signatures, and affirmative electronic acceptance may satisfy applicable legal requirements to the same extent as physical signatures where permitted by law.

37. SEVERABILITY
If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision shall be enforced to the maximum extent permitted by law.
If necessary, the provision shall be modified only to the minimum extent necessary to make it enforceable while preserving its intended purpose.
The remaining provisions will remain in full force and effect.

A failure to enforce any provision of these Terms does not constitute a waiver of the right to enforce that provision later.

You may not assign, transfer, or delegate these Terms or your Author Account without our prior written consent.
HowToEGuides may assign these Terms, in whole or in part, in connection with:
* a merger;
* acquisition;
* corporate restructuring;
* sale of assets;
* financing transaction;
* change of control; or
* other business transaction.

40. ENTIRE AGREEMENT
These Terms, together with any applicable:
* Privacy Policy;
* publishing agreement;
* author agreement;
* payment terms;
* content guidelines;
* service-specific terms; and
* other documents expressly incorporated by reference,
constitute the agreement between you and HowToEGuides concerning the Author Center.
If these Terms conflict with a separately executed written agreement concerning a specific subject matter, the specific written agreement will control with respect to that subject matter.

41. NO THIRD-PARTY BENEFICIARIES
Except where expressly stated otherwise, these Terms do not create rights for any third party to enforce any provision of these Terms.

Where notice is required under these Terms, HowToEGuides may provide notice through:

* an account notification;
* a website posting; or
* another reasonable electronic method.
You are responsible for maintaining a current email address and other contact information in your Author Account.

44. ACKNOWLEDGMENT AND ACCEPTANCE
BY CREATING AN AUTHOR ACCOUNT, ACCESSING OR USING THE AUTHOR CENTER, SUBMITTING AUTHOR CONTENT, OR CLICKING “I AGREE,” YOU ACKNOWLEDGE AND AGREE THAT:
1. You have read these Terms;
2. You understand these Terms;
3. You have had an opportunity to review these Terms;
4. You agree to be legally bound by these Terms;
5. You agree to the Author Content license described herein;
6. You acknowledge your responsibility for your Author Content;
7. You agree to the limitations of liability and indemnification provisions to the maximum extent permitted by law;
8. You agree to the Florida governing-law provision;
9. You agree that covered disputes shall be brought exclusively in applicable Florida state or federal courts, to the maximum extent permitted by law; and
10. You understand that continuing to use the Author Center after accepting these Terms constitutes continued acceptance of the Terms then in effect, where permitted by law.
